References to "SAP" in this Terms and Conditions refers to Studio A Productions.
References to "Client", "Customer", "Customers" or "You" in this Terms and Conditions refers to you.
References to "Production", "we", "us" or "our" in this Terms and Conditions refers to SAP.
References to the "Amount" in this Terms and Conditions are references to the full payment for the tickets.
General
You hereby agree that you shall provide accurate, current and complete information as may be required in the course of purchasing the tickets (hereinafter collectively referred to as "Client's Details"), failing which we reserve the right to reject your reservation for the tickets. You further agree to maintain and update the Client's Details as required to keep it accurate, current and complete.
You further agree that we may store and use the Client's Details provided by you (including payment card information) for use in maintaining your account and pursuant to SAP's Privacy Policy.
Any delay in exercising any power or right of a party does not operate as a waiver of that power or right, nor does any single exercise of any power or right preclude any other or further exercise of it, or the exercise of any other power or right; nor shall any waiver of any single breach or default be deemed a waiver of any other breach or default theretofore or thereafter occurring. A power or right may only be waived in writing and signed by the party to be bound by the waiver.
Should any provision of this agreement be held by a Court to be unlawful, invalid, and unenforceable or in conflict with any law, rule, statute, ordinance or regulation, the validity and enforceability of the remaining provisions will not be affected.
Entire Agreement. The Agreement constitutes the entire Agreement between SAP and you concerning this transaction and replaces all previous communications, arrangements, representations, understandings, and Agreements, whether verbal or written between the parties to this agreement or their representatives. No representations or statements of any kind made by either party that are not expressly stated in this Agreement shall be binding on such parties.
This Agreement shall be construed and enforced in accordance with, and the rights of the Parties shall be governed by, the laws of the Republic of the Philippines, without regard to principles of conflict of laws.
The parties agree that any court action that may arise in connection with this Agreement shall be brought before the proper courts of Metro Manila in exclusion of all other venues.
Engagement
You agree to purchase from us the tickets offered by SAP.
You hereby acknowledge and agree that you have read and understood all the terms and conditions and you agree that by purchasing tickets together with these Terms and Conditions, you form a contract between you and SAP.
Payment
You agree to pay the purchase price to us in full in consideration of a seat at the show, which shall be inclusive of the Value-added tax (VAT) and all other applicable taxes.
Payments made pursuant to this agreement shall be made in accordance to the payment method specified by the Production such as via Maya Portal, Payrex Portal, Paymongo portal, direct bank transfers, GCash, over the counter payments, and cash, among others. Any other payments made to channels and methods not otherwise authorized or included in this Agreement shall not be considered as Payments to us.
You hereby acknowledge and agree that the Payment shall only cover the seat(s) to the show purchased and shall not include any meals, merchandise and/or traveling expenses unless otherwise specified by us in writing. For the avoidance of doubt, we shall not be responsible for reimbursement of any expenses which may be incurred by you as a result of attending the shows.
Discounts and Promotions
Discounts and promotional rates offered by SAP, including any statutory discount such as the twenty percent (20%) discount for Persons with Disabilities (PWDs) and Senior Citizens under Republic Act No. 10754, Republic Act No. 9257, and their Implementing Rules and Regulations, may not be combined or stacked with one another. Where a buyer qualifies for more than one (1) applicable discount on the same ticket, only one (1) discount shall be applied, and SAP shall apply whichever discount is higher in value between the promotional discount and the statutory discount ("No Double Discount Rule"). In no case shall a buyer receive both a promotional discount and the statutory discount on the same ticket.
To avail of any discount, the buyer must, prior to making payment, (a) send a message through SAP's official Facebook Page, Instagram account, or email (ticketing@studioashows.com) stating the intended discount to be availed; (b) present a valid and original identification card or supporting document proving eligibility for the discount claimed, such as a PWD ID, Senior Citizen ID, valid school ID, or such other proof of eligibility as may be required for the specific promotion; and (c) proceed to make payment for the ticket(s) only after the discount has been verified by SAP.
SAP reserves the right to deny, withhold, or revoke any discount where the required identification or proof of eligibility is not presented, is invalid, expired, illegible, or does not match the name reflected in the Client's Details.
Discounts are strictly applicable to new tickets being purchased only and shall not be applied retroactively to seats or tickets that have already been reserved or paid for. SAP does not provide cash rebates, partial refunds, or price adjustments on tickets already paid for in full at the regular or non-discounted price, whether or not the buyer later becomes eligible for, or discovers, a discount that could have applied. All discount verification and application must be completed prior to and as a condition of payment; no discount, rebate, or adjustment shall be entertained or processed once payment has already been made.
Unless expressly stated otherwise in writing by SAP, discounts apply only to the base ticket price and shall not extend to any other fees, add-ons, merchandise, or service and processing charges.
Time and Place
Your Payment for the said amount entitles you to a reserved seat only at the specific show during show hours as agreed to or to be confirmed by us prior to the date and time of the purchased seat of the said show.
You hereby confirm that you have given a valid email address and accurate contact details and Client Details in the Form. We shall not be responsible and/or liable for any delay and/or failure to deliver to you any updated information and/or services resulting from your failure to supply a valid email address or the accurate contact details and Client Details.
You hereby agree that we reserve the right to amend and/or cancel any event, timing, dates and venue. We will notify you prior to any changes of your purchased seat(s) via the contact information provided to us of any changes made. We will not be held liable for any claims of refund costs, losses, damages or liabilities which may be incurred or suffered by you whatsoever as a result of your failure to promptly check your email and/or phone and make alternative plans and/or adjustments to attend the show despite prior notice of such cancellations or amendments or changes.
Cancellation
We reserve the right to cancel the show for any reason whatsoever. You hereby agree that in the event that the shows are canceled by us, you are only entitled to a credit voucher for the total amount of the same show and rescheduling for the same show made free of any interest and/or charges. Further, you shall not be entitled to claim against us for any other costs, expenses, losses, damages or liabilities which may be, directly or indirectly, incurred or suffered by you as a result of such cancellation.
You further acknowledge that we shall have no liability whatsoever towards you in respect of the cancellation for whatever reason, including force majeure and causes beyond the control of SAP.
Non-Entitlement to Refunds
You hereby expressly acknowledge that you shall not be entitled and we shall not be held liable to any and all claims for refund, costs, damages, losses and/or liabilities due to any reason attributable to your actions, omissions, or negligence, including but not limited to: bad weather, inability to find parking space, or traffic. You also acknowledge that you are not entitled to rescheduling of your ticket due to any of the aforementioned reasons attributable to your actions, omissions, or negligence, including but not limited to: bad weather, inability to find parking space, or traffic, as they are final and reserved for you on the show date.
In the event that SAP has agreed to reschedule or refund your ticket, a processing fee of PHP1,000.00 per ticket shall apply. You further acknowledge that these are essential terms of this agreement which should be complied with.
For avoidance of doubt, no refund shall be entertained for late arrivals, non-attendance or withdrawal from the show, for any reason whatsoever except for cases of force majeure.
Force Majeure
If the provision of the show as contemplated by this Agreement are prevented or canceled because of an Act of God, accident, fire, strong rain, blackout, flooding of the venue, or any other calamity, or if by reason of riots, civil unrest, wars, strikes or lockouts, or any other events beyond SAP's reasonable control and not due to the fault of SAP, we may at its option postpone the show and you shall be notified of any such postponement.
You are not entitled to claim for a refund or for any costs, expenses, losses, damages or liabilities which may be incurred or suffered by you as a result of such postponement.
In the event that the show is cancelled due to force majeure, as stated above, Section 25 of this Agreement shall apply.
Consent
You hereby confirm that you consent for SAP, and/or our affiliates to contact you by phone, email, SMS or other means with regard to this purchase for purposes of providing you a more personalized service such as notifications for products and/or new shows and services being offered by SAP and/or our affiliates. You further consent to your email address being used for the mailing list of SAP, and/or our affiliates for purposes of providing you a more personalized service such as notifications for products and/or new shows and services being offered by SAP and/or our affiliates. Your contact number and email addresses are kept confidential, and will never be published, sold or disclosed to third parties without your explicit consent. You hereby agree and have consented us for using your personal data which shall be limited to the above-stated purpose. You can remove yourself from emails at any time by using the unsubscribe link provided at the bottom of each email we send.
The information to be collected by us are limited to names, addresses, and contact information such as phone numbers and emails and social media handles in the event that we are contacted by you through our social media accounts.
As a parent or guardian, we do not suggest that you share any personal information of minors to us. In the event that such personal information of a minor is disclosed to us, you hereby consent to the processing of the minor's data and assume and accept responsibility and agree to be bound by this notice and take responsibility for his or her actions.
In the event that you provide personal data of other individuals such as a spouse or family member, you represent and warrant that you have obtained their consent for their personal data to be collected and used as set out in this Agreement.
Any personal data of yours will be retained only for the period necessary to fulfill the above-stated purpose unless a longer retention period is otherwise allowed or required by law. Once your personal data is no longer necessary for the purpose above-stated, or we no longer have any legal or business purpose for the retention of your personal data, we shall take steps to erase, destroy, anonymise or prevent access or use of such personal data.
Indemnification
You agree to accept full responsibility for your purchase, participation and/or the outcome of any decisions made after attending any show by SAP. SAP and our affiliated entities, associates and any of our representatives accept neither responsibility nor liability nor will it indemnify you for any and all costs, expenses, losses, damages, liabilities, which may be incurred or suffered by as a result of these decisions.
You agree that any purchase decisions are not influenced by any prior relationship or dealings with SAP or any of our officers, directors, employees or representatives.
You agree and acknowledge that all purchases made by you are by your own decision and choice.
Validity Period
The validity period of the ticket is only for the show date which you purchased from us.
We reserve the right to alter the terms and conditions without prior notice.
